Proposition 1: Bylaw Amendment to Article 6.3 Dues, Fees and Assessments

WHY?? The Dues formula is part of the annual budget process and is reviewed by the Finance committee. The annual election process has changed to an online method since 2020.

 

Rationale: This portion of the bylaw about the annual election meeting process is outdated. Today, members (in good standing) can vote online and cast their vote within a 9-day voting window. This allows members the flexibility to vote at their convenience, with the intention of increasing voter turnout, and also reflects modern voting practices. The Dues Formula is specific to Hemlock Farms. It places values on services and recreational amenities to calculate costs to cover expenses. Improved lot owners, Unimproved lot owners, and Adjacent lot owners pay set annual dues for the use of facilities based upon lot category. Should the Association want to add future amenities or services, both the Finance Committee and the Board will review and approve the effect on the Dues formula. Budget meetings are open and members are encouraged to attend to become more involved in the process

An Update on the Proposed Changes to Bylaw Article 6 (Finance)

 

We understand there is some chatter in the community right now regarding the proposed updates to Bylaw Article 6. This is completely understandable, as financial and accounting controls can get highly technical.

 

We are also aware that a few individuals are actively trying to persuade members to reject this proposition. In our opinion, this pushback is misguided. Over the next few weeks, we will break down each proposed change in plain English so everyone has the facts needed to make an informed decision.

 

A Little Background

 

First, let's look at why this is necessary. Many of our bylaws are 30, 40, or even 50 years old and simply do not reflect today's world (for example, one section still requires contacting people via telegraph!).

 

The updates to Bylaw Article 6 were initiated by the Finance Committee, which oversees all of our community's financial processes. Both our legal counsel and our current CPA firm were brought in to review and further refine the proposal. Only after this thorough external review was the proposal submitted to the Board for final evaluation and approval.

 

Both legal and accounting experts firmly believe these changes provide much-needed modernization without losing an ounce of oversight. Hemlock Farms has managed to create a unique oversight process over our accounting process. In fact, our CPA firm has noted more than once in open meetings with the membership that the Hemlock Farms accounting process is "best in class" and has even recommended our model to their other clients. The Board of Directors believes that the proposed changes will only strengthen this process and feels very comfortable asking for your support in passing these propositions.

 

The focus behind the changes: Strong Controls, Better Efficiency

 

Rest assured, existing financial controls remain firmly in place:

 

  • Budgeting Process & Monthly Oversight: The Finance Committee works closely with management to build the budget, which is then submitted to the Board for approval. We continue to conduct monthly budget reviews across the Finance Committee, management, and the Board.

 

  • Bill Payment Controls: Every single expense payment over $1000 requires a formal sign-off by a director. Additionally, all paid and unpaid bills are submitted to the full Board for review on a monthly basis.

 

  • Auditors' Report: Every year, all financial transactions are sent to our independent auditors for a full, comprehensive review.

 

  • Additional Transparency: Detailed reports highlighting budget overages, dues collections, and other financial data will continue to be published in the monthly Board package, which is completely open and available to every member.

 

The result is the exact same rigorous oversight, just handled much more efficiently.

 

"Approval" vs. "Review"

 

We know there is some minor concern about shifting a few topics from Board "approval" to Board "review." While that might sound like a loss of control at first glance, it really isn't.

 

When the Board is asked to approve an item, it involves a formal yes-or-no motion. When an item is presented for review, the exact same deep-dive scrutiny and questioning happens, just without the need for a formal vote. The Board will still review the details, ask tough questions, and absolutely reject anything that isn't in the best interest of the Association. A change in terminology does not reduce accountability or oversight. The level of control remains exactly the same.
